B. GROUNDS FOR NONRENEWAL  :  7. § 2802(b)(3)(A) Failure to agree to changes or additions to the franchise made in good faith and the normal course of business
  • State Oil Co. v. Alayoubi, 966 F. Supp. 653 (N.D. Ill. 5-19-97)

    Declaratory judgment and immediate possession to franchisor. Third party's offer to buy property franchisor leased to franchisee was bona fide. Franchisee had right of first refusal not a bona fide right to purchase. Transaction was arm's length and is actual price buyer, which was purchasing mulitple properties from franchisor, was willing to pay. Reasonableness is not an issue. Franchisor not entitled to addition rent which original proposed lessee agreed to pay.
