The occurrence of an event listed in Section 2802(c) justifies, as a matter of law, a franchisor's decision to terminate a franchise under Section 2802(b)(2)(C). If, however, a franchisor seeks to terminate a franchise under Section 2802(b)(2)(C) because of the occurrence of an event other than those listed in Section 2802(c), judicial scrutiny of the reasonableness of the termination is required. Further, even where the termination is based upon an event listed in Section 2802(c), there is a specific reasonableness requirement incorporated into Section 2802(b)(2)(C) through Section 2801(13) that may be raised by a franchisee.
